Abstract

The central issue of this study lies in the conflict between the confidentiality of the funding agreement and the transparency required by arbitral due process. Considering this tension, the international debate has shifted from the legitimacy of Third-Party Funding (TPF) to its regulation. The key question is no longer whether funding should be permitted, but rather how it should be managed to preserve the systemic integrity of arbitration. It is argued that the disclosure of the existence of the funding arrangement and the identity of the funder to both the arbitral tribunal and the opposing party constitutes an implicit procedural duty, rather than a mere option or recommendation of best practices. To demonstrate this argument, the study will first analyze the extent of the risk posed by the hidden funder to arbitral due process. It will then examine the international regulatory framework, particularly the soft law instruments developed by institutions such as the IBA and the ICCA, contrasting them with the legislative vacuum and the still incipient self-regulation observed in Brazil. Finally, transparency will be established as an indispensable requirement for reconciling the economic benefits of TPF with the jurisdictional legitimacy of arbitration.

Keywords: third-party funding; duty of disclosure; arbitral impartiality.
